Terms & Conditions
- Rights: The Organisers reserve all rights in connection with World of Sleep exhibition.
- Terms of References: In these Terms & Conditions, the term 'Exhibitor' shall include all employees, staff and agents of any company, partnership firm or individual to whom space has been allocated for the purpose of participating and all Terms and Conditions as produced herein are fully binding on the Exhibitor(s). The term 'Organisers' shall mean the Texzone Information Services Pvt. Ltd. alongwith all its offices all over India. The term “Exhibition” shall mean the exhibition known as 'World of Sleep.”
- Damage to the Exhibition Area: Exhibitors are required to indemnify the Organisers against any claim made against them by any person in respect of damage to Exhibition halls and venue caused by their booth exhibits, visitors, staff or by agents acting on their behalf.
- Insurance & Security:
- Insurance & Security of the exhibits and property of the booth shall be the responsibility of the Individual Exhibitor. Organisers shall no way be held responsible for the same.
- The Organisers shall not be responsible in any way for personal injury to the Exhibitors or their staff, agents, invitees or licensees, howsoever caused.
- Organisers' shall no way be responsible or liable for any kind of loss, sufferance, damage caused to visitors, contractors including their personnel, persons and property of the 'Exhibitors'. The 'Exhibitors' shall duly ensure taking adequate policies insuring all coverable risks.
- Consequential Loss: In case of the Exhibition being cancelled or suspended or deferred in whole or in part, for causes not in the Organisers' control, the Organisers do not accept any liability consequential in any eventuality.
- Business Volume: The organisers don't guarantee any volume of business to any exhibitor.
- Booth Alteration:
- No alteration in size of an Exhibitor's booth is permitted without the prior written approval of the Organisers.
- The Organisers reserve the right to modify the layouts of the booth sites and gangways, and allot alternate booth with alternate area.
- In case the actual size of a booth finally allotted is less than booked space, the Organisers shall refund cost of the difference in booth size, but shall not be liable for paying any interest or any other consequential, thereof.
- In the event of an Exhibitor's display causing inconvenience to other Exhibitors, the Organisers reserve the right to ask for the required alterations.
- Conversion of an allocated Built-up booth to Free Design (like raw space booths) is not permitted.
- No fixings should be made to the flush plywood of the Built-up booth. Damaging them in any way, alterations in the fascia structure or the format are not permitted. Any attempt to do this will involve the restoration of the original structure at the expenses of the Exhibitor or his/her agent.
- Neither are the booth displays allowed to overhang the allotted area, nor are any obstructions permitted near gangways, fire points, extinguishers and emergency exits.
- Designers are particularly requested to avoid designs which may block or hinder other Exhibitors' booths, display or the aisle areas.
- Booth Interiors:
- While the Exhibitors are free to decorate their booth to the best of their ability for projecting the right image of their products and company, they should take care not to cause any damage to the walls, panels and floors by use of nails, painting or any other such activity. All designs for construction of booths on raw space must be sent to organisers for technical approval, at least 3 weeks before the exhibition.
- All construction work like woodwork, painting, etc. should be completed by 10:00 a.m. on 24th September, 2025 for 1st edition in Hyderabad & 10:00 am on 26th March, 2026 for 2nd edition in Mumbai so that products are displayed well on time and further when the show is inaugurated the booths are well in place to receive the VIPs, Guests, visitors.
- No interior or exterior work or the picture or artefacts or article whatsoever or persons whomsoever in relation to the booth shall directly or indirectly depict or project anything degrading or lowering any country or religion or any person in any manner.
- Exhibitors accept all terms & guidelines for booth construction and dismantling as provided in the Exhibitor Manual.
- Equipment Interference: No equipment which emits excessive noise or causes electrical interference or any other annoyance can be operated. In this matter, the decision of the Organisers shall be final.
- Audio Visual Presentation: It is appreciated that audio-visual presentations are an important part of World of Sleep Exhibition. However, the Organisers expect Exhibitors to exercise discretion and show courtesy towards fellow Exhibitors and not do disturb other booths at all. Organisers reserve their rights to take photos or videos of any, more or all of the booths, venue, the visitors, shows and events if any and publish, broadcast, webcast, screen or make presentations etc. of the same with or without edit in any manner as they may deem fit from time to time.
- Booth Confirmation: A booth would be deemed confirmed, upon the Exhibitor submitting the Online Exhibitor Contract Form duly signed and realization of full payment there against and written confirmation of the same from the 'Organisers'. If the exhibitor fails to make minimum payment of 25% within 10 days of signing the Exhibitor Contract Form or does not make the remaining payments as per schedules mentioned in the contract form and confirmation advice, the Organisers have the right to revoke their booking and subject to clause 15 here below, all payments made till such rescission or cancellation shall stand forfeited and the 'Exhibitor' shall not have any right or claim on the same for any reason whatsoever.
- Booth Allocation: The Organisers reserve absolute right for the final booth allocation, and may offer alternate booth of equivalent size to confirmed exhibitors. Exhibitor's request for specific locations will be considered, but cannot be binding or conditional for their participation, once they fill in Exhibitor Contract Form.
- Default on Payment: The Organisers reserve the right to cancel any reservation of space in the event of an Exhibitor not having paid the dues of the booth charges within specified period. Payment already received will stand forfeited in such cases.
- Change of Booth: A booth once booked by the Exhibitor cannot be changed without prior written consent of the Organisers.
- Cancellation: No reduction/cancellation in space would be permitted after Registration. The Organisers may, in special cases, permit reduction in space/cancellation upto 120 days before the exhibition dates after forfeiting 75% of the total booth charges. In case of reduction in space or cancellation is done less than 90 days before the trade show, the exhibitor is liable to pay 100% of the booth charges applicable as per this Exhibitor Contract Form. In case the advances paid by the exhibitor do not cover these amounts, the balance amount will have to be paid by the exhibitor as applicable for cancellation before 120 days or 90 days respectively as the case may be. In extremely exceptional situations, which will be judged solely by the Organisers, cancellation may be permitted by carrying forward these amounts to the credit of the exhibitor for next edition. No cash refunds would be made.
- Space not Occupied:
- Every Exhibitor shall occupy and manage the full area booked by him for the entire duration of the exhibition and any 'NO SHOW' or 'PARTIAL OCCUPATION' will be considered as availing of the entire allotted space and shall accordingly be liable for the payment due.
- Not withstanding what is said in a hereinabove, if an Exhibitor fails to take up the booth allocated to him, the Organisers reserve their right to use the booth so unoccupied, as they deem fit and the Exhibitor shall not have any right of objection or claims in this regard.
- No Sub-letting: The allotment of space under the contract is personally exclusive and hence the space allotted cannot be assigned, transferred, shared etc. by the Exhibitors in favour of any third person. Exhibitors shall not assign, share, sublet or grant licenses in respect of the whole or part of the booth or space allotted to them in favour of any other person.
- Cards, advertisements or other printed matter, digital media of the Exhibitor firms (or other persons who are not bonafide Exhibitors) shall not be exhibited or distributed in any form from any booth other than from the respective allotted booth. However, an Exhibitor may distribute cards, advertisements or printed matter, digital media of companies or firms which are subsidiaries of the Exhibitor or the Exhibitor's ultimate holding company. Other than those who are specifically permitted herein, no non-exhibitor can share or distribute in any manner whatsoever, any cards, advertisements or printed matter, digital media or other materials etc. within any booth or within any part of the exhibition premises.
- Exhibitors may display in their booths only such of their products as listed in the Exhibitor Contract Form and Product Classification Form duly accepted by the Organiser. Exhibitors must not engage in advertising of the products of non-exhibitors except as specifically permitted under clause 18 above.
- Exhibits/Products must be presented inside the booths. Distribution of leaflets or samples outside the booths is strictly prohibited.
- Promotion by Exhibitors: In all communication inviting patrons to visit their booth, Exhibitors must specify clearly that registration is a must for entry to World of Sleep Exhibition. If this is not the case, the Organisers reserve their right to refuse entry to invitees who do not wish to register. Visitors invited by the Organiser or Exhibitors but not Pre-Registered Online will be liable to pay the Visitor Registration fees before reaching the venue or they are liable to pay Spot Visitor Registration fees.
- Hoardings/Banners: No hoardings, banners etc. will be allowed at the exhibition premises, halls or on the roads in the vicinity unless the design, specification, location and installation have been approved by the Organisers in writing. In case it is not, such unauthorized display is liable to be removed at the exhibitor's cost by the Organisers without any notice.
- Security: Although a 24-hour hall security will be in operation throughout the Exhibition, Exhibitors should take all possible personal precautions to prevent loss or damage to their equipment, merchandise, display etc.
- Exhibit Removals:
- Exhibits must be removed from the exhibition premises before 02:00 a.m. of 29th September, 2025 for 1st edition in Hyderabad & 30th March, 2026 for 2nd edition in Mumbai.
- If an Exhibitor fails to vacate his booth, space or premises by above mentioned time, he will have to compensate the Organisers for damages as a result thereof.
- Exit Permit: No material/exhibit shall be allowed to be taken out of the hall without valid exit permit obtained from the officer authorised by the Organisers.
- Built-up booth sizes: The size of Built-up booth is calculated to the nearest sq. mtrs. (rounded up or down) and cost is based on this size.
- Electrical Installations: All outside electrical installations must be carried out by the officially appointed electrical contractors before connection to the main supply. Exhibitors will be responsible for safeguarding their equipment against any voltage fluctuations and/or power failure and the Organisers will not be liable for any consequences thereof.
- Fascia: Only one fascia board per booth will be provided. Built-up booth exhibitors are not allowed to change the standard fascia as part of the display.
- Failure of Service: The organisers may provide certain free and complimentary services and facilities to the Exhibitors, contractors and visitors. The Organisers will endeavour to ensure such services through the suppliers. However, neither they nor the suppliers shall be liable to the Exhibitors for any loss or damage, should any such service wholly or partially fail or cease to be available. Also, the Exhibitors shall not be entitled to any concession due to such failure of service in respect of the booth charges due or paid under the contract.
- Right to Enter the Exhibition: The Organisers, venue officials and those authorised by them have the right to enter the exhibition premises at any time to execute work, repairs and alterations and for other purposes.
- General Lien: All exhibits are subject to general lien in favour of the Organisers for all sums, whether for unpaid booth charges or otherwise, due from an Exhibitor to the Organisers.
- Right of Entry to Visitor: The Organisers reserve the right of admission to visitors and may prescribe visitor registration procedure and recover registration charges from the visitors. Organisers' decision in this matter would be final and binding.
- Verbal Agreement & Prior Understanding: Any verbal agreement concerning any aspect of the contract or the exhibition is not valid unless confirmed in writing. This contract supersedes all and every prior understanding oral or written and this contract is final and shall prevail.
- Exhibitors: Exhibitors are independent contractors and their employees are their own employees only and Exhibitors are not the agents or partners of the Organisers. Exhibitors undertake to ensure legal compliances and obligations as applicable to them and for their non-compliances if any, the Organisers will no way be held liable or responsible.
- Intellectual Property: Logo, Copy Right, Trade Marks and Service Marks of both the Exhibitor and the Organiser are the property of the respective Exhibitor and Organiser alone and any use of the same during World of Sleep exhibition in the booth and marketing is a limited permitted use of the same in connection with the said World of Sleep exhibition participation and shall not amount to in any manner whatsoever to assignment or transfer of any kind whatsoever.
- Jurisdiction: Any dispute between the Organisers and an Exhibitor is subject to the jurisdiction of the Courts of Mumbai only to the exclusion of all the other Courts.
- Force Majeure: Organisers will not be liable to any compensation or liability to the exhibitors or their associates, if the exhibition cancellation occurs on account of Acts of God like fire, flood, earthquake, pandemic or other natural calamities; any terrorist activity, war, political turmoil, embargo, strikes, riots or public unrest etc.
- The organisers have the right to make any decision related to matters specifically not provided for in these Terms & Conditions in respect of the World of Sleep 2025-26.
- Retail sales are permitted at World of Sleep.
- After confirming multiple show participation if an Exhibitor fails to participate in any one of the show, Exhibitor won’t be able to avail the 5% discount and will have to pay the entire applicable Booth charges.
